By accessing or using Smart AI Manager, you agree to be bound by these Terms of Service and all applicable laws and regulations, and you accept responsibility for compliance with any laws that apply to you locally. If you do not agree with any of these terms, you are not permitted to use the service.
01 Agreement to these terms
These terms form the agreement between you and Smart AI Manager for use of the website and the application (together, the “Services”). The materials contained in the Services are protected by applicable copyright and trademark law. If you use the Services on behalf of an organization, you confirm that you are authorised to bind that organization to this agreement, and “you” means both you and that organization.
02 Your account
You need an account to use the Services, and you must be at least 13 years old to hold one. You are responsible for keeping your credentials safe and your account details current. Do not share your password, and do not give another person access to your account — if you need someone else to reach your content, use a workspace or a share link, which is what they exist for.
Tell us promptly if you believe your account has been accessed without your authorisation. Activity carried out through your account is treated as yours unless you tell us otherwise.
03 Your content and your permissions
Your content stays yours
When you use the Services you provide us with content — conversations, files, images, video, audio, code, prompts and collections (“Your Content”). Your Content is yours. These terms give us no ownership of it.
The permission we need
We need a limited permission in order to run the Services for you: to host and store Your Content, to index it so that search works, to generate previews and thumbnails, to back it up, and to deliver it to you or to anyone you deliberately share it with. This permission extends to the infrastructure providers we use to do those things, and it exists only for that purpose.
We do not use Your Content to train, fine-tune or evaluate AI models, and we do not sell or rent it. This is a commitment in the agreement, not only in our marketing.
04 Connected AI sources and third-party services
The Services let you connect third-party AI tools and storage accounts. Those connections are authorised by you through each provider’s own OAuth flow and may be revoked by you at any time. You are responsible for holding a valid account with each provider and for complying with that provider’s terms.
What you send to a third-party provider is processed by that provider under its own terms and privacy policy. We do not control those services, we are not responsible for their availability, output or conduct, and a change on their side may affect what the connection can do. If a provider withdraws or changes its API, the corresponding feature may change or stop working.
Google services
Signing in with Google, and connecting Google Drive as your storage target, are optional features that use Google APIs. Our use of them is governed by the Google API Services User Data Policy, and your own use of Google services remains subject to the Google Terms of Service.
Smart AI Manager’s use and transfer of information received from Google APIs to any other app will adhere to the Google API Services User Data Policy, including the Limited Use requirements. Section 04 of our Privacy Policy sets out exactly which scopes we request, what we do with the data, and how to revoke access.
05 Your responsibilities
Your use of the Services must comply with the acceptable use policy below. Content in the Services may be protected by other people’s intellectual property rights — do not upload, store, generate or share content unless you have the right to do so.
We may review conduct and content for compliance with these terms. We are not responsible for content that users create, store or share through the Services, and reviewing is a right we hold rather than a duty we owe.
You may use the Services only as permitted by applicable law, including export control laws and sanctions regulations.
06 Acceptable use policy
We trust you to use the Services responsibly. You agree not to misuse them, and not to help anyone else do so. In particular, you must not attempt any of the following in connection with the Services:
Not permitted on Smart AI Manager
- Probing, scanning or testing the vulnerability of the service or its network
- Breaching or circumventing authentication, authorisation or rate limits
- Accessing areas of the service, or content, you have not been granted access to
- Interfering with or disrupting the service, its users or its infrastructure
- Automated scraping or bulk account creation outside our supported interfaces
- Reselling or sublicensing the service without written authorisation
- Uploading or generating material that sexually exploits or endangers children
- Storing or distributing malware, ransomware or credential-harvesting kits
- Using the service to send unsolicited bulk messages or to run phishing campaigns
- Impersonating another person or misrepresenting your affiliation with anyone
- Storing content that infringes another party’s copyright or trademark
- Harassing or abusing our staff, or any other user of the service
- Using the service to violate applicable law, or to help anyone else do so
The Services may be used only for lawful purposes. You agree to indemnify and hold us harmless from any claim arising out of your use of the Services or your breach of these terms.
Security research is welcome when it is responsible: if you believe you have found a vulnerability, report it to us rather than exploiting it, and do not access other users’ data in the course of testing.
07 Sharing and links
You can share an individual item with a read-only link. Creating a link is a deliberate act with a real consequence: anyone who holds it can view that item, and you should treat it as public unless you control who receives it. A link grants access to that one item and to nothing else in your vault, and you may revoke it at any time.
You are responsible for what you choose to share and for confirming you have the right to share it.
08 Copyright
We respect the intellectual property of others and ask that you do the same. We respond to notices of alleged copyright infringement that comply with applicable law. We reserve the right to remove or disable access to content alleged to be infringing, and to terminate the accounts of repeat infringers. If you believe your copyright or trademark is being infringed through the Services, contact us with the details of your claim.
09 Availability and data loss
Your use of the Services is at your own risk. We do not warrant that the Services will be uninterrupted, timely or error-free. For content that you cannot afford to lose, keep your own independent copy — no online service, including this one, is a substitute for a backup you control.
Where you have connected your own storage account, files held in that account remain subject to that provider’s durability and retention behaviour, not ours.
10 Suspension and termination
You may stop using the Services and delete your account at any time. We may suspend or terminate an account that breaches these terms, that is used unlawfully, or where suspension is necessary to protect the Services or other users. Where circumstances allow, we will give notice and an opportunity to put the breach right; where the breach is severe or ongoing harm is being caused, we may act first and notify afterwards.
On termination, the permissions you granted us under section 03 end, save for anything we must retain to comply with a legal obligation.
11 Use license
We grant you a limited, non-exclusive, non-transferable and revocable licence to use the Services for their intended purpose. Under this licence you may not: copy or modify the Services; use them for any purpose other than their intended one; attempt to decompile or reverse engineer any part of them; remove any copyright or proprietary notice; or mirror any part of them on another server. This licence terminates automatically if you breach any of these restrictions, and may be terminated by us at any time.
12 Disclaimer
The Services and their materials are provided “as is”. We make no warranties, express or implied, and disclaim all other warranties including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We make no representation about the accuracy, reliability or likely results of using the Services, or of any output produced by a connected AI provider.
Output generated by an AI model may be inaccurate, incomplete or unsuitable for your purpose. You are responsible for reviewing it before relying on it.
13 Limitations
In no event shall we or our suppliers be liable for any damages, including without limitation damages for loss of data or profit or for business interruption, arising out of the use of or inability to use the Services, even if we or an authorised representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.
14 Modifications to these terms
We may revise these terms from time to time. The materials on the site may also include technical or typographical errors, and we do not warrant that they are accurate, complete or current. By continuing to use the Services after a revision, you agree to be bound by the version then in force. We are not obliged to update the materials, but we will not pretend a change did not happen.
We have not reviewed every site linked from the Services and are not responsible for the contents of any linked site. The inclusion of a link does not imply endorsement, and use of any linked site is at your own risk.
15 Governing law
Any claim relating to the Services shall be governed by the laws of India without regard to its conflict of law provisions. We are committed to conducting our business in accordance with these principles so that the confidentiality of personal information is protected and maintained.
